Advising Vspry as they establish their new payment platform for the health sector

Vspry is a new fintech company establishing a new payment platform for the health sector. We initially acted for Vspry on their corporate establishment and fundraising and subsequently in connection with the establishment of their new payment platform by drafting all their standard customer and merchant terms and conditions, establishing the fund and all other related contracts and agreements. We also provided all the related regulatory advice. The establishment of a major new fintech company with a new payment platform with significant regulatory considerations is complex and involved advice from our FSR, corporate and tax teams.

Advising Credible Labs on their capital raise, IPO and merger with Fox Corporation

DLA Piper advised ASX listed Credible Labs Inc on its AUD585 million merger with NASDAQ listed Fox Corporation. Founded in 2012 by entrepreneur Stephen Dash, San Francisco-based Credible operates a consumer finance marketplace that allows borrowers to compare real time loan offers from lenders. Helping consumers save money and make better financial decisions. DLA Piper has previously supported Credible on its AUD300 million IPO and ASX-listing in 2017 and on its listed company journey since then. We also advised Credible on its Pre-IPO convertible note which raised AUD10 million. This deal is important for the industry as a US-style merger of this kind involving a US domiciled ASX-listed counterparty is not a well-trodden path in the Australian and US markets.
